As a Legal Officer within the Legal Team of 4 people, you will support a third-party UCITS Management Company and AIFM in their legal, regulatory, and governance duties. Your primary responsibility will be the preparation, review, and submission of fund prospectus filings to the CSSF, along with support on onboarding, fund documentation, and ongoing regulatory processes within the Luxembourg UCITS and AIFMD framework.
Description
A. Prospectuses & CSSF Filings
- Prepare, coordinate, and submit prospectus updates and supplements to the CSSF, ensuring adherence to required formats and timelines.
- Handle the CSSF eDesk workflow for filings, updates, and follow-up requests.
- Manage comment resolution with internal stakeholders and external counsels.
- Monitor regulatory developments (CSSF circulars, ESMA guidance, UCITS/AIFMD updates) impacting disclosures.
B. Fund Onboarding & Regulatory Readiness
- Assist with the onboarding of new UCITS and AIF structures.
- Contribute to pre-inception readiness reviews, ensuring consistency of disclosures across prospectuses, KIDs, marketing materials, and risk documentation.
- Prepare and coordinate CSSF forms.
- Validate final documentation packages for submission.
C. Legal Documentation & Contracts
- Draft, review, and negotiatefund-related agreements, including:
- Management Company agreements
- Investment Management agreements
- Depositary and Administration agreements
- UCI Administrator agreements
- Constitutional and corporate documents
- Ensure proper execution, signature logistics (including electronic signature protocols), and internal filing.
- Coordinate with external stakeholders to close outstanding legal points before submission.
D. Governance & Corporate Secretariat
- Prepare / review board minutes, resolutions, shareholder circulars, and supporting materials relating to:
- Prospectus approvals
- Sub-fund launches, mergers, liquidations, or restructurings
- Director appointments and resignations
- CSSF notices and regulatory milestones
- Maintain governance standards and documentation across UCITS and AIF structures.
E. Cross-Functional & External Coordination
- Work closely with the Compliance, Risk, Operations, Domiciliation, and Onboarding teams.
- Participate in weekly coordination calls with external counsel, depositaries, administrators, and investment managers.
- Provide legal support for client interactions, escalations, and transaction-related questions.
Profile
- Master's degree in Law (Luxembourg/EU).
- Minimum 2 years of experience in a legal or regulatory role within a UCITS/AIFM context (Management Company, law firm, fund administrator, or similar).
- Strong understanding of:
- UCITS (2010 Law) and AIFMD (2013 Law)
- CSSF prospectus approval processes
- Legal documentation for regulated and non-regulated funds
- Excellent English required (French/German or other languages are assets).
- Strong drafting skills, precision orientation, ability to manage multiple files, and excellent stakeholder communication.
