OW, a controlled 50/50 joint venture between EDP and Engie, is looking for a problem-solving and communicative Legal Manager.

GENERAL DESCRIPTION


The successful candidate will perform the responsibilities of managing the legal affairs of Ocean Winds in Portugal and be based in Porto.

This includes, but is not limited to, the provision of advice in all areas of the organization's operations and legal matters, and the role will require the successful candidate to pay particular attention to the needs arising from Business Development, Corporate, Procurement, Finance, Operation & Maintenance, Regulatory, Ethics & Compliance, and Dispute Resolution.


MAIN ACCOUNTABILITIES


  • Be in charge of all legal affairs of Ocean Winds in Portugal
  • Provide legal advice and support, review contracts, and manage legal matters including, but not limited to, Business Development, Corporate, Procurement, Finance, Operation & Maintenance, Regulatory, Ehtics & Compliance, and Dispute Resolution with respect to existing offshore wind projects and new business opportunities in Portugal.
  • Review, draft, and negotiate MOUs and ancillary agreements such as confidentiality agreements, assignment agreements, and termination agreements.
  • Draft, negotiate, finalize and advise on various contracts in respect of OW activities in Portugal, including without limitation, joint development agreements, shareholders agreement, sale and purchase agreement, engineering service agreements, power purchase agreements, turbine supply agreements, EPCI agreements, construction agreements, interconnection agreements, project finance agreements, insurance matters, operation and maintenance agreements and consulting services agreements.
  • Provide legal advice on ethics & compliance.
  • Draft legal documents and manage necessary corporate governance work including preparation of board, shareholders resolutions and other corporate documents.
  • Coordinate efforts with the legal and business teams regarding corporate and project requirements to ensure maximum value and appropriate risk management for OW Portugal and OW Offshore.
  • Identify critical project risk issues and communicate those risks to the appropriate members of the legal team or supervisor for resolution and management.
  • Efficiently manage outside counsel with an eye toward minimizing expenses.
  • Cooperation with the other members of the OW legal teams.
  • Other tasks including, but not limited to, occasional summarization, registration, and translation, as assigned.


ACADEMIC BACKGROUND AND QUALIFICATION


  • Portuguese law degree.


LANGUAGES


  • Mother tongue Portuguese.
  • Ability to read, write and speak professional English fluently.


PROFESSIONAL EXPERIENCE


  • 6+ years of (cumulative) experience handling domestic as well as international matters in law firm(s) or international corporation(s).

OTHER REQUIREMENTS


Work experience or educational background in the energy industry especially renewables is preferred.
