Your Mission

 

To ensure a comprehensive and effective legal service, with the appropriate balance of quality, speed, and cost; to protect the resources and interests of the company and to support the businesses in achieving their goals (strategic and general).

 

Who will you report to Head of Legal

 

Your Responsabilities

  • Issues advice at request or at own initiative for local and international stakeholders, regarding legal and related commercial issues, from a legal and business perspective and based on an analysis of the situation and its context, including drafting appropriate documentation.
  • Prepares (proposals for) commercial contracts, supports, and or participates and/or leads negotiations, including defining the negotiation strategy and ensures drafting of (legal) documents (e.g. in the context of procurement negotiations), including the Data Protection Agreements, according to the instructions from time to time received from the Head of Legal.
  • Negotiation of all Data Protection Agreements of the OpCo as well as managing the Register of Processing Activities (ROPA) and performing the Privacy Assessments along with the business owners.
  • Preventing and/or solving disputes, assesses the companys legal position, ensures proposals for settlements and ensures litigation if necessary, in accordance with internal guidelines.
  • Legal representation in Courts for commercial litigation (firstly, together with external law firms and finally, all alone).
  • Performs legal audits regarding an assigned part of the organization, based on internal guidelines and thresholds of responsibility established; acts upon / advises on signaled deficiencies or potential improvements, and supports its development, or monitors the legal awareness of local management Legal Risk Management (Audits take place with the input and guidance of the Head of Legal).
  • Ensure that company complies with the law & regulations, in its day-to-day business life.
  • Represents the OpCo in national and international contacts with external parties (e.g. suppliers, customers, joint venture partners, governmental institutes, suppliers, customers, and joint venture parties), consults and works in close collaboration with external lawyers, if necessary, within the internal procedures and guidelines.
  • Supports the development and implementation as well as maintain legal and related policies for the assigned area of expertise, within the overall legal strategy, to be approved by the Head of Legal, and guarantees that the company complies with legal polices (e.g. by executing audits).
  • From the assigned discipline initiates, steers and/or participates in multi-functional projects within the defined project framework
  • Participate in projects with impact on parts of the OpCo or OpCowise, depending on the design made by the Head of Legal.
  • Ensures proper administration, archiving and registration of legal documents (including, at OpCo level, contracting via Ironaclad, the archive of contracts that are not in Ironclad, in the Legal Contract Database, the management of the Legal Channel, the archive and register at the Legal Entities Management system, Know your customer processes and the supervision of all trademarks, models and patents registries in the global database).
  • Detects and follows trends in legislations (e.g. national, international, European) and translate these trends into possible and/or necessary changes in companys procedures and/or systems

 

We want you to bring

  • Degree and / Or Masters in Legal;
  • 3-5 year experience as an attorney-at-law or legal counsel (at least 1-2 enrolled in the BAR association with a first rank law firm)
  • Excellent client-facing and internal communication skills
  • Stakeholder management;
  • Proactive in identifying and solving problems;
  • Solid organizational skills including attention to detail and multi-tasking skills
  • Discipline, impact, influence, energy, ambition and proactivity. 
  • English (minimum B2).
  • Resilience.
